In 2023, we began thinking seriously about how tech was reshaping creative work. The possibilities and questions were staggering. A friend came to mind—a wildly talented digital artist always experimenting with new tools. Who owned the work he was making? What could others do with it? We wanted to show up for him—as lawyers, but also because we care deeply about protecting ideas and creativity.
Then, we received a phone call from in-house counsel for a global company.
Her legal team and other teams in finance, HR and marketing were using various AI video transcription software to record and transcribe calls. Without anyone noticing, one of the vendors updated its online contract to allow broad use of recordings to train its AI. Trade secrets, financial info, private employee info, negotiations–all potentially exposed and run through external AI systems, accessible and even now owned by others. This was a monumental whoopsy daisy.
In the months that followed, the calls kept coming. Same story, different software, different company.
In-house counsel: “Our teams are rolling out new tools, and vendors are slipping in AI features faster than we can track.” Marketing. Procurement. R&D. HR. IT. Contracts were changing across the org, with no clear way to keep up. Innovation had quickly become a big potential cost and risk. Legal, compliance, and IT teams lacked the resources and bandwidth to handle it— then and going forward.
Working with our law firm’s clients, one thing was clear: for a client to track contract changes across software and critical vendors was going to eat up hundreds (or thousands!) of hours across legal, IT, procurement, and infosec. Digging through terms, chasing updates, aligning teams, managing fallout day after day would be unsustainable. Changes could leave companies exposed to millions in legal risks (internal and third-party), data leaks and operations issues, massive brand damage, and disappointed customers. Ignoring it—not an option.
So, we made Take Care.
